    Would seem to be just what the Doctor ordered (no pun intended).

    If we are all happy with this, I would recomend that we post it up in the WTA Members forum to give the full membership a chance to contribute their views on it before we ask for it’s ratification and adoption.

    Constitution

    Introduction

    1. The name of the Federation shall be the “Whitegoods Trade Association” (referred to in this constitution as “the WTA”)

    2. The WTA was established on 23/09/2007

    3. The WTA exists to “Support the Independent Service Industry” in whatever way possible by its members and ruling body.

    The Whitegoods Trade Association will provide services to independent appliance service, repair and sales companies by helping to establish a favourable operating environment, by providing a forum for discussion on non-competitive issues, and by providing information to assist them in their business.

    Objectives

    4. The WTA shall have the following objectives –

    a. To be a central representative body to put the views of companies within the independent appliance repairs and sales industry to Government departments and agencies, Parliament, the European Commission and Parliament and other relevant organisations.
    b. To be a research and statistical body, to collect and publish statistics, and to provide analysis on the independent appliance industry and other relevant market information as appropriate and wherever possible.
    c. To be a technical centre providing guidance and advice on all legal and other regulatory developments of relevance to the appliance industry.
    d. To provide a forum for the exchange of non-competitive information.
    e. To promote the independent appliance repairs and sales industry.
    f. To provide an Arbitration scheme, for diputes that may occur between our members and their customers.

    5. Membership

    a. Membership of the WTA is available to Independent companies which sell appliances and provide service to the appliance industry. Companies that do not directly sell appliances and provide service, may, at the discretion of the Council be accepted as associate members.
    b. Members will be expected to adhere to the WTA Code Of Practice at all times
    c. Members will be expected to maintain their status and operate within all legislation as issued by UK & EU Government
    Associates
    d. The Council, at its discretion, will admit as an associate of the WTA, any organisation that is not an independent trader but is otherwise interested in the trade. Associates shall be entitled to receive most publications and other literature prepared under the auspices of the WTA, and will be entitled to offer opinion and input into the affairs of the WTA, but will not at any time be eligible to be elected onto its council.

    Finance of the WTA

    6. The financial year of the WTA shall be the calendar year but this may be changed by resolution of the Council.
    a. The subscription scale shall be set by the Council and can be reviewed annually.
    b. Associates shall pay an annual subscription set by the Council and can be reviewed annually.

    Meetings of the WTA

    7. The WTA shall hold an annual general meeting not later than four months after the end of each financial year.
    a. At least 10 members of the WTA, or the Council, may at any time require the Council to convene a general meeting of the WTA. In convening such a meeting the Council shall give not less than 21 days notice to members.

    8. WTA Council

    a. The affairs of the WTA shall be directed by a Council comprising of:
    b. Representatives of independent companies in membership. The status of a company in respect to fulfilling the term “independent” is defined by the Council.
    c. The Council will consist of Seven members, elected on a democratic basis, each member serving for a three year term. Each member shall have as many votes as there are vacancies. The Council may enforce bye-laws governing the conduct of elections including provision to phase retirements.
    d. No more than three members can be co-opted by the Council.

    12. A member of the Executive Committee shall cease to be a member if he resigns from, or if he ceases to hold office in, the institution in which he has hitherto held office.

    13. Six members of the Council, shall each have one vote. The Seventh member is ‘non voting’, but will be requested to vote in the event of equality.

    WTA Council

    14. The Council shall be run evenly, with all elected members sharing all responsibilities.

    Publicity

    15. The WTA shall publish an annual report on its activities and a list of subscribing members. Both these documents will be published with the membership list being always up to date.

    Committees and Panels

    16. The Council may establish and maintain sub-committees and project groups, and may delegate matters to them.
    17. The Council may appoint technical panels to advise and assist it.

    Delegation

    18. The Council, may delegate, at any time any of their powers

    Revision of the Constitution

    19. This constitution shall be amended by the WTA, provided that at least 75{e5d1b7155a01ef1f3b9c9968eaba33524ee81600d00d4be2b4d93ac2e58cec2d} of the members of the WTA present at the meeting vote in favour of amendments of which prior notice has been given.

    Transitional arrangements

    21. The following transitional arrangements shall apply:

    Seven members were elected to serve as a steering council, for a term of 2years. 6 members will be voting, 1 member will be non voting. The elected 7 members are as follows:

    Lawrence Carey of Carey’s, Ipswich
    Adrian Welke of Appliance Care (Wales) Ltd, South Wales
    James Banks of IADOM, Manchester
    Chris Chantrell of Quality Washer Repairs, Leeds
    Bryan Williams of FFR Service, Luton
    Sean Delaney of Deltec, Anglesey
    Steve White of http://www.aqualectric.com, Dorset

    The ‘subscribers’ of UK Whitegoods are automatically accepted as WTA members.
    These members are not subject to any fee, until their natural renewal date.

    New Membership, to the Independent trader is set at £60 (+VAT) for 1 Year. Associate membership is set by arrangement.

    I forgot to say, once this is agreed, which I think it pretty much is, can we just move this whole thread over to the members forum for discussion saving the need for multiple threads?

    It also offers the members better transparency in what’s going on and what the process is.
